Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective February 9, 2022, the Board of Directors of INNOVATE Corp. (the “Company”) promoted Suzi Raftery Herbst, currently Chief Administrative Officer, to Chief Operating Officer of the Company.
